2. Only authorized Lifestyles Distributors may sell Lifestyles products or participate in the Lifestyles Sales Program.
3. As Independent Contractors, Lifestyles Distributors are responsible for the collection and remittance of all sales taxes and will hold Lifestyles harmless in respect of any liability the Distributor may incur.
4. The only requirement to become a Lifestyles Distributor is the filing of an application together with payment of $25.00 (Canada add $1.75 GST) administration charge. The administratrion charge entitles each Distributor to receive periodically the Lifestyles Newsletter. Any purchases of product inventory, sales aids,, literature or supplies is optional.
5. Each Distributor will furnish Lifestyles with a Social Insurance ( Social Security ) Number. In the case of a partnership or corporation, the person whose name appears on the application form is empowered to act for the partnership or corporation. Lifestyles will not grant more than one Distributorship per individual Social Insurance ( Social Security ) number.
6. In order to remain a Lifestyles Distributor, Lifestyles requires the payment of an annual administration charge of $25.00 on January 1st of each year which, if not received by February 1st will result in cancellation of the Distributorship. Distributors joining after September 30th are exempt for the first year renewal charge.
7. Lifestyles Independent Distributors will not make any claims, verbal or written, regarding Lifestyles products other than those contained in Lifestyles produced or approved materials.
8. No individual Lifestyles Distributor may have any ownership interest, operational or management control of, or derive any benefit directly or indirectly from, any second or subsequent Lifestyles distributorship.
9. Each Distributor agrees to abide by the Policies and Procedures for Lifestyles Distributors as currently published and as amended from time to time in the Independent Distributor Guide to Success or other Lifestyles literature. The distributor also agrees to indemnify and hold Lifestyles harmless against any claims, costs, damages, losses, liabilities, or expenses ( including lawyer's fees ) arising from or connected with, directly or indirectly, the Distributor's breach of this Agreement or other conduct by the Distributor or by the Distributor's spouse, agent or employee. The Distributor acknowledges that if he or she breaches this contract, Lifestyles shall have the right to terminate the distributor's position and shall be entitled to damages and injunctive relief prohibiting any further violation of this contract.
10. The Spouse of an existing Distributor may only be sponsored by that existing Distributor. This does not change the policy of being sponsored in one position only. A spouse may only be sponsored by their spouse in their existing downline.
11. In order to place a new order, a Distributor must certify on each product order placed through Lifestyles, that at least 70% of all product previously purchased has been sold. For purposes of this rule, a sale may include a purchase for personal or family use.
12. These regulations are reasonably related to the laws of the jurisdiction in which the home office of the country in which the application is submitted is located, and shall be governed in all respects thereby. The parties agree that jurisdiction and venue shall lie within that location.
