THIS AGREEMENT WITNESSETH THAT: 1. Only authorised Lifestyles International Operations Limited (hereafter referred to as Lifestyles) distributors may sell Lifestyles products or participate in the Lifestyles International Marketinq Plan.

2. The only requirement to become a Lifestyles Distributor is the filing of an application together with payment of $40.00 USD which includes administration charge and entitles each distributor to receive Lifestyles magazine and other corporate communications. Any purchase of Product Inventory, Sales Aids, Literature or supplies is strictly optional.

3. In case of a partnership or corporation the person whose signature appears on the application form is empowered to act for the partnership or corporation. Lifestyles will not grant more than one distirbutorship per individual.

4. In order to remain a Lifestyles Distributor, LifestyleS requires the payment of au annual administration charge of $40.00 USD on the anniversary date of the distributor's enrollment, which if not paid by the anniversary date will result in cancellation of the distributorship.

5. Lifestyles Independent Distributors will not make any claims, verbal or written, regarding Lifestyles products Qlher than those contained in Lifestyles produced or approved materials. Lifestyles Independent Distributors will also agree that Lifestyles products are not to be sold in any retail environment and that all advertising must be approved by Lifestyles home office according to Lifestyles Policies and Procedures.

6. No individual Lifestyles Distributor may have an ownership interest, operational or management control of, or derive any benefif directly or indirectly from, any second or subsequent Lifestyles distributorshrip.

7. In promoting Lifestyles products, Distributors will adhere strictly to the principles and guidelines outlined in the Distributors Manual as amended from time to time, and will only use official Lifestyles advertisements and promotional literature as approved by Lifestyles home office in advance.

8. Lifestyles International Operations Limited accepts no responsibility or liability whatsoever for any breach by the Distributor of clauses 5 and 7 hereof.

9. If the Distributor sells Lifestyles products outside the countries where Lifestyles has sanctioned offices, Lifestyles will accept no responsibility or liability for any consequential breach of the laws and regulations of any country's laws whatsoever.

10. If the Distributor is in breach of the above Clauses 5, 7 or 9, Lifestyles International Operations Limited may serve on the Distributor notice to terminate this agreement forthwith in accordance with Lifestyles Policies and Procedures.

11. It any provision of this agreement is found to be unenforcable or invalid, the validity of the remaining provisions shall not be affected. This agreement and Lifestyles Policies and Procedures shall consitute the whole agreement between Lifestyles International Operations Limited and the Distributor and no alteration hereto shall be valid unless made in writing and signed by the Parties thereto. This agreement shall be giverned by the law of Barbados and the Parties agree to the jurisdiction of the Bajan Courts.


I hereby acknowledge that I have read this Agreement and Will abide by all of the Policies and Procedures of Lifestyles International Operations Limited as stated in this Aqreement and in the Lifestyles Independent Distributor Manual. Further, I expressly agree that all the terms and conditions in the Distributor Manual are herein incorporated by reference and for all purposes shall constitute part of this Agreement.
NB.: All correspondence from Lifestyles International Operations Limited will be in English until such time as the Company opens a sanctioned office in the Distributors service area.
THIS APPLICATION IS NOT TO BE USED IN ANY COUNTRY WHERE LIFESTYLES HAS AN ESTABLISHED OFFICE.
